Who else is involved
Securities counsel, on convertible and pledge mechanics and on any transaction touching restricted or affiliate stock. Counsel review is a condition of closing, not an optional step.

There is no outside fund to call, no syndicate to assemble, and no third-party capital provider who has to be found before an answer is possible. The file is not circulated to place it.
